Navigator Partners, LLC., (Navigator) principals have extensive private equity fund management experience.

Navigator focuses on businesses with annual revenues approaching $10MM to over $200MM. Ideal companies have prior year EBITDA approaching at least $2MM, though entities with lower Revenue and EBITDA levels are selectively considered for investment.

Aspire Home Heath provides home care and hospice services through Aspire Home Care in Colorado and Indian Territory Home Health & Hospice in Oklahoma. Navigator invested in a re-capitalization in 2008 and again in 2009 with the acquisition of Indian Territory.

AVISTA OIL Group ("AVISTA") - AVISTA is the leading recycled oil enterprise in Europe with its 5 collection subsidiaries and participations and its 2 re-refineries. With about 400 employees located in Germany, Denmark, Belgium, Luxemburg and Poland, AVISTA is the market leader in oil upcycling in Europe and belongs to the TOP 3 emulsion collectors. Avista is also a major oil collector in the United States through its majority ownership of Universal Environmental Services, based in Peachtree City, GA. Avista is building a 30 million gallon re-refinery in Peachtree City, GA. Navigator Principals co-led this investment. Coffin Turbo Pump, Inc. is based in Englewood, NJ, the company is the leading world-wide manufacturer of centrifugal, turbine boiler-feed pumps for the marine industry. The company enjoys a significant market share of such pumps which are used in US Navy vessels and commercial ships around the world, including the fast growing fleet of LNG tankers. Navigator principals also led and sponsored the transaction and secured equity and debt financing. Mr. Imhoff is the Chairman of Coffin Turbo Pump. Compass Water Solutions, Inc. is based in Irvine, CA. The company is a leading manufacturer of marine-based oily water separators and reverse osmosis equipment. Navigator principals negotiated and structured this acquisition. Mr. Imhoff is the Vice-Chairman of Compass Water Solutions. Compass's website is compasswatersolutions.net.

Cornerstone Franchise Group, LLC (CFG) is a franchising platform company. Cornerstone owns a franchisor of in-home services. Navigator Principals partnered with experienced industry executives to launch CFG. The executives previously held senior positions Snelling and Snelling, Pearle Vision, Express Personnel Services, and Nursefinders.

Oncology Molecular Imaging, LLC - based in Jupiter, FL operates positron emission tomography (PET) scanners in markets across the country. The scanners are used in the diagnosis of Alzheimer's as well as diagnosis and surgery planning for cancer patients. Navigator provided growth equity to OMI in a financing that closed in September, 2006.

Revere is a niche provider of single use aluminum and plastic packaging solutions to the food service industry. The Company delivers customized packaging solutions in unique order quantities on a made-to-order basis. Revere is active in many sales channels including airlines, bakeries, food distributors, frozen foods, restaurants and supermarkets. The Company's portfolio of food packaging products is used for a variety of applications, including baking, roasting, packing, steaming and catering. Based in Shelbyville, Kentucky, Revere services customers nationwide. Navigator invested in the acquisition of Revere in December, 2011. Revere's web site address is: www.reverepackaging.com.

Navigator Partners, LLC provided growth equity to Denver-based Smashburger, the country's fastest growing better burger restaurant company, designed to be every city's favorite burger place. Smashburger operates and develops corporate and joint venture stores, as well as being the franchisor of Smashburger stores. Smashburger currently has more than 140 stores in 25 states and has sold franchise and joint venture agreements that will bring the total to more than 460 locations over the next several years. Terracare Associates, LLC is a leading provider of commercial landscape and public infrastructure management services. Terracare Associates currently operates throughout Colorado and Northern California providing a diverse range of services to institutional, industrial, commercial and municipal customers, including outsourced road and park maintenance, general landscape services, irrigation management, snow/ice removal, and aquatic/lake management services.

Westcon, Inc. - based in Bismarck, ND specializes in providing large-scale construction services (e.g., pipefitting and welding, structural steel erection and fabrication, equipment installation and concrete installation) for a diverse group of developers, owners and operators of industrial facilities, including petro-chemical, power generation, food processing, railroad, and biofuel facilities. Founded in 1981, Westcon operates through four regional offices. Since 2001, Westcon has completed over 1,600 projects across the United States. Navigator invested in a recapitalization transaction in July, 2008. Westcon's website is www.westconindustries.com.

Exited Investments:

US Syngas - based in Faustina, LA is developing a gasification facility to produce ammonia from petroleum coke feedstock for sale to agricultural/chemical industry customers at a discount from world ammonia market prices. The facility will also produce nitrogen and sulfur. The Project will be built on a 175-acre site adjacent to the Mosaic Company's DAP fertilizer plant in Faustina, Louisiana, on the Mississippi River between Baton Rouge and New Orleans. Navigator provided financing to the project in a round that closed in February, 2007 and successfully exited the investment in July, 2007.

Digney York Associates, LLC, located in McLean, VA, is the leading firm specializing in hotel interior room renovations and refurbishment. Digney was formed in 1985 and performs services for major hotel chains in the USA. Amongst Digney's clients are Marriott International, Host Marriott, Intercontinental Hotels, Hyatt, Starwood branded hotels, and other internationally known as well as privately held hotel properties. Navigator closed on its investment in November, 2002 and exited the investment in August, 2007. Digney York's website is www.digneyyork.com.

CK Franchising, Inc. ("CKFI"), Dayton, OH is the franchisor of the "Comfort Keepers" franchise business for providing in-home care to the elderly and incapacitated. CKFI has been in operation since 1999 and had over 500 franchises as of September 2006. CKFI began international franchising operations in 2004 and has franchisees in Canada, the United Kingdom, Ireland, Australia, New Zealand, Singapore and Hong Kong. Navigator is the largest shareholder in CKFI and closed this transaction in February 2003 and exited the investment in July, 2007. Messrs. Imhoff and Markey were board members. Project Leadership Associates ("PLA"), founded in 1998, provides computer network integration services to medium-sized businesses throughout the Chicago area. Network integration services includes computer network implementation, planning, design, security, and project management. PLA provides overall network/technology strategy consulting and application development services and a full range of IT outsourcing solutions including software development, management consulting, help desk support and repair. Navigator invested in PLA in February 2003 to recapitalize the business and support its strategic growth plan. Navigator exited the investment in June, 2007. Messrs. Omniflight Helicoptors, Inc., located in Addison, TX, is one of the largest providers of air medical emergency transport services in the United States operating over 50 helicopters in 13 states. Air medical services involve transporting patients requiring intensive medical care from either general care hospitals or the scene of an accident to highly skilled trauma centers or tertiary care centers. Navigator invested in the acquisition of Omniflight in May 2003 and exited in October, 2005 when the business was sold. Omniflight's website is www.omniflight.com.

Conisus - based in Atlanta, GA, Conisus is a leading provider of educational symposia, research content and continuing medical education in the field of oncology. Conisus arranges promotional events used by pharmaceutical companies to inform, position, and promote their drugs to physicians and other drug-use decision makers. Many of the programs are eligible for continuing medical education (CME) credits. Navigator invested in a recapitalization transaction in March, 2007 and was exited through a sale in December, 2010.
